Core & Main Q2 Net Income Declines
Core & Main Inc. (CNM) reported that its second quarter net income decreased 9.9%, to $164 million compared with $182 million, prior year. The company said the decrease in net income was primarily attributable to higher SG&A, interest expense and income taxes. The class A common stock earnings per share decreased to $0.66 from $0.67. On average, 11 analysts polled by Thomson Reuters expected the company to report profit per share of $0.68, for the quarter. Analysts’ estimates typically exclude special items. Adjusted EBITDA decreased 2.5%, to $270 million.
Second quarter net sales were $1.86 billion, flat with a year ago. Analysts on average had estimated $1.88 billion in revenue.
The company narrowed its fiscal 2023 adjusted EBITDA guidance to be in the range of $850 to $880 million. The company now expects net sales to be in the range of $6.6 to $6.8 billion.

U.S. GDP Grows Less Than Previously Estimated In Q2
Revised data released by the Commerce Department on Wednesday showed the U.S. economy grew by less than previously estimated in the second quarter.
The report said the increase in gross domestic product in the second quarter was downwardly revised to 2.1 percent from the previously reported 2.4 percent. Economists had expected the pace of GDP growth to be unrevised.
The slower than previously estimated growth reflected downward revisions to private inventory investment and nonresidential fixed investment.
Upward revisions to state and local government spending, exports, consumer spending, federal government spending, and residential investment helped limit the downside.
The slower than previously estimated GDP growth in the second quarter still reflected a modest acceleration compared to the 2.0 percent increase in the first quarter.
The Commerce Department said the acceleration in GDP in the second quarter primarily reflected a smaller decrease in private inventory investment and an acceleration in nonresidential fixed investment.
These movements were partly offset by a downturn in exports and decelerations in consumer spending and federal government spending.
NextGen Healthcare To Be Taken Private By Thoma Bravo For $23.95/share Cash
NextGen Healthcare, Inc. (NXGN), cloud-based healthcare technology solutions, announced Wednesday it has entered into a definitive agreement to be acquired by software investment firm Thoma Bravo.
Under the terms of the agreement, NextGen Healthcare shareholders will receive $23.95 per share in cash. The per share purchase price represents a 46.4% premium to the Company’s unaffected closing stock price on August 22.
The transaction, which was approved unanimously by the NextGen Healthcare Board of Directors, is expected to close in the fourth calendar quarter of 2023, subject to customary closing conditions, including approval by NextGen Healthcare shareholders and the receipt of required regulatory approvals. The transaction is not subject to a financing condition.
Upon completion of the transaction, NextGen Healthcare will become a privately held company and its common stock will no longer be listed on any public stock exchange.
